| James E. Minarik has served as our Chief Executive Officer of DEI Holdings since January 2001. From 1992 to December 2000, Mr. Minarik was employed by business units of the publicly traded and Japan-based Clarion Company Limited, a supplier of audio equipment to global car manufacturers and retailers, including as the Chief Executive Officer of Clarion Corporation of America from 1997 to December 2000. Mr. Minarik serves on the board of directors of Escort Inc., a privately held radar detector company and Twin Star, a privately held manufacturer of electric fireplaces. Mr. Minarik received both a Bachelors Degree and a Masters of Business Administration from the Pennsylvania State University. |

| Kevin P. Duffy serves as our President of DEI Holdings, Polk Audio, and Definitive Technology. Mr. Duffy also serves as the Chief Financial Officer of DEI Holdings. Mr. Duffy joined DEI in 2003 and has served in a variety of roles including President of Directed Electronics, Senior Vice President – Corporate Development, Marketing, and Investor Relations. Prior to joining DEI, Mr. Duffy worked for ThinkTank Holdings LLC, a private venture capital firm located in Southern California, and one of its portfolio companies, as Vice President of Business Development and then as Executive Vice President. Mr. Duffy’s previous experience includes serving as Director of Strategy at Clarion Corporation of America, as well as consulting with Bain & Company and Deloitte & Touche. Mr. Duffy holds an A.B. in Economics from Princeton University and a Masters of Business Administration from the Stanford Graduate School of Business. |

| Michael S. Simmons has served as Executive Vice President of DEI Holdings, Inc. since June 2009. Mr. Simmons previously served as President of Directed Electronics since joining the Company in June 2008. Mr. Simmons has led a variety of businesses and brings extensive experience in the automotive and consumer electronics industries to Directed Electronics. His previous roles include General Manager at performance car maker Saleen Inc, CFO of Sonance (a custom audio manufacturer), CEO of TechSpace (a technology infrastructure provider), and various management positions at Ford Motor Company and PricewaterhouseCoopers. He is a CPA, and he holds a BBA from the University of Michigan and an MBA from Northwestern's Kellogg School of Management. |
