| James E. Minarik has served as our Chief Executive Officer since January 2001. From 1992 to December 2000, Mr. Minarik was employed by business units of the publicly traded and Japan-based Clarion Company Limited, a supplier of audio equipment to global car manufacturers and retailers, including as the Chief Executive Officer of Clarion Corporation of America from 1997 to December 2000. Mr. Minarik serves on the board of directors of Escort Inc., a privately held radar detector company and Twin Star, a privately held manufacturer of electric fireplaces. Mr. Minarik received both a Bachelors Degree and a Masters of Business Administration from the Pennsylvania State University. |

| Executive Vice President and Chief Financial Officer |

| Kevin P. Duffy has served as our Executive Vice President and Chief Financial Officer since November 2007. Mr. Duffy previously served our company as Senior Vice President — Corporate Development and Marketing from March 2006, and Vice President from June 2003 to March 2006. From July 2002 to June 2003, Mr. Duffy served as a consultant to our company. From August 2001 to June 2003, Mr. Duffy attended the Stanford Graduate School of Business where he received a Masters of Business Administration. From August 2000 to January 2002, Mr. Duffy worked for ThinkTank Holdings LLC, a private venture capital firm located in Southern California, and one of its portfolio companies, as Vice President of Business Development and then as Executive Vice President. Mr. Duffy’s previous experience includes serving as Director of Strategy at Clarion Corporation of America, as well as consulting with Bain & Company and Deloitte & Touche. Mr. Duffy holds an A.B. in Economics from Princeton University. |

| Michael S. Simmons joined Directed Electronics in 2008. Mr. Simmons has led a variety of businesses and brings extensive experience in the automotive and consumer electronics industries to Directed Electronics. His previous roles include Chief Marketing Officer of a major automotive aftermarket performance company, CFO of Sonance (a custom audio manufacturer), CEO of TechSpace (a technology infrastructure provider), and various management positions at Ford Motor Company and PricewaterhouseCoopers. He is a CPA, and he holds a BBA from the University of Michigan and an MBA from Northwestern's Kellogg School of Management. |

| James M. Herd joined Polk Audio in December of 1991, and served as Vice President of Marketing and Sales from 1991 - 1995. He became President of Polk Audio in early 1996. Prior to his arrival at Polk Audio, Mr. Herd was employed at Bose Corporation as Director of North American Sales. Mr. Herd's career at Bose Corporation spanned 15 years where he held various management positions. He attended Rutgers University in a pre-law political science undergraduate curriculum where after 4 years, he left the ranks of formal education to pursue entrepreneurial activities in the then budding home audio industry. |

| Sandy Gross served as President of Definitive Technology from 1990 to 2005, when he became President Emeritus and Chief Strategist, reassumed the title of President of Definitive Technology in 2008 with the establishment of DEI Holdings, Inc. Gross graduated from The Johns Hopkins University in 1972, when he helped co-found Polk Audio, and he served as VP of Sales and Marketing, until he left in 1988 to pursue an interest in film production. Mr. Gross co-founded Definitive Technology in 1990. He has served on the Board of Directors of the EIA and the CEA, and was Chairman of the Specialty Audio Division of the CEA. Mr. Gross was the founding President of the Council of Audio Specialty Manufacturers which later merged with the EIA. He is a member of the Slot Car Hall of Fame as well as the Audio Hall of Fame. |

| Derek Schumann has served as President of Directed Electronics Canada since January 2008. A successful entrepreneur, Schumann founded Trilogix Electronic Systems, a company specializing in the design and development of vehicle interface solutions, in 1997. 10 years later, Trilogix was acquired by DEI Holdings, and in April 2008, DEI Holdings’ three Canadian subsidiaries (Autostart, Directed Electronics Canada, and Trilogix) were amalgamated into one corporate entity now known as Directed Electronics Canada. Schumann graduated from Bishop’s University with a Divisional Major in Economics and Political Science, and a minor in Philosophy. |
